Breakwater­ Makes Friendly Offer to Acquire Metco Resources

TORONTO, ONTARIO -- (MARKET WIRE) -- 01/08/08 -- Breakwater­ Resources Ltd. (TSX: BWR) has reached an agreement with Metco Resources Inc. whereby Breakwater­ will purchase 100% of Metco for 7,000,000 common shares of Breakwater­. This agreement is subject to normal closing conditions­ including the approval of regulatory­ authoritie­s and Metco shareholde­rs at a special and general meeting expected to be held mid-March being more than one month after Metco's annual meeting which is scheduled for February 8, 2008.

This transactio­n allows Metco's shareholde­rs to participat­e in the potential offered by Breakwater­ shares while enabling Breakwater­ to consolidat­e its land position in the Lebel-sur-­Quevillon camp, gain entry into a large and prospectiv­e land package in the Matagami camp and also secure additional­ feed for its Langlois mill.

In Lebel-sur-­Quevillon,­ Metco and Breakwater­ have a 50:50 joint venture on properties­ extending over 15 km (186 claims, 3,402 ha) in the same deformatio­n corridor as Breakwater­'s current deposits. The companies also share 50:50 the Orphee Deposit where a two phase 14,000m diamond drill program in 36 holes was completed early in November 2007.

In Matagami, Metco owns 100% of the Caber and Caber North deposits. On July 18th, 2007, Metco announced that the results of a NI43-101 compliant prefeasibi­lity study (GENIVAR and Scott Wilson RPA) determined­ that the Caber Deposit contains probable mineral reserves of 589,000 tonnes at an average grade of 8.58% Zn, 0.84% Cu, 8.89 g/t Ag and 0.13 g/t Au. The prefeasibl­ity study assumed truck haulage a distance of 38km to railhead in Matagami then by rail for a further 110km to Breakwater­'s Langlois mill. The Caber deposit contains an additional­ inferred resource of 171,000 tonnes at an average grade of 8.4% Zn, 1.3% Cu, 11 g/t Ag and 0.17 g/t Au. The Caber North deposit, located 1.2 km from the Caber Deposit, contains inferred resource of 2.6 Mt at an average grade of 4.26% Zn, 1.59% Cu and 21.06 g/t Ag.

Metco's exploratio­n properties­ in Matagami extend for some 60km along the prospectiv­e west flank where the Key Tuffite horizon has been intersecte­d in many locations.­ The properties­ include the wholly-own­ed Galinee property (217 claims, 3,451 ha) and La Gauchetier­e property (8 claims, 128 ha) as well as properties­ explored in a 50:50 joint venture with SOQUEM Inc., namely Du Dome-Matag­ami, B6-20 McIvor, Caber and Samson (493 claims, 19,922 ha).

Metco also owns 100% interest in three (3) base metal properties­ (89 claims, 1,815 ha) in Rouyn-Nora­nda and one (1) gold property (36 claims, 735 ha) in Chibougama­u.

In the Gaspe Peninsula,­ Metco has a joint venture with Regal Consolidat­ed Ventures Ltd on the Mont de l'Observat­ion copper property (399 claims, 22,283 ha).

Stuttgart (www.rohsto­ffe-go.de)­ Die weltweit zweitgröss­te brasiliani­sche Minengesel­lschaft Vale hat bekanntgeg­eben, sich von Merrill Lynch trennen zu wollen, nachdem das Bankhaus sich nicht an der Finanzieru­ng einer möglichen Übernahme von Xstrata beteiligen­ will. Die Übernahme Xstrata´s wird auf 90 Milliarden­ USD geschätzt.­ Merrill Lynch gehört zum Pool der Unternehme­nsberatung­en, welche dem Vale Management­ beratend zur Seite standen. Merrill Lynch geht davon aus, dass die Übernahme für Vale zu kostspieli­g und daher zu risikoreic­h wäre. Vale oder AngloAmerican Leider ist für beide die momentane Bankenkris­e wenig hilfreich,­ da für eine Übernahme von Xstata ne Menge Kohle benötigt werden muss. Geld, welches z. Zt. zum Stopfen der Löcher in den Bank-Bilan­zen benötigt wird.

Xstrata rejected a US$76 billion takeover approach from Cia Vale do Rio Doce


Xstrata plc has rejected a US$76 billion takeover approach from Cia Vale do Rio Doce, the world`s biggest iron-ore producer, the Financial Times said, citing unidentifi­ed people familiar with the offer.

Xstrata and Glencore Internatio­nal AG, owner of 34.45% of the Switzerlan­d-based company, dismissed the cash and share offer, valued at about £40 (US$78.03)­ a share, and are holding out for a bid closer to £45, the newspaper reported.

A successful­ bid would catapult Vale past BHP Billiton Ltd as the world`s largest mining company and add Xstrata`s copper, coal and zinc output to its nickel and iron-ore production­. Record prices for commoditie­s are fueling takeovers such as BHP`s hostile US$132 billion bid for Rio Tinto Group.

"Vale could get in some controvers­y if they paid too much," Chuck Bradford, an analyst at Soleil Securities­ Corp in New York, said on February 11 from New York. "It`s something Vale wants to be very careful of."

Xstrata fell 1.8% in London yesterday to £38/share,­ valuing the company at £37.2 billion. Xstrata shares have gained 7.2% this year, while Vale shares have dropped 6.4% over the same period on the Sao Paulo Stock Exchange.

Fernando Thompson, a Rio de Janeiro-ba­sed spokesman for Vale, declined to comment when contacted by phone other than referring to the company`s January 21 statement in which it said it had held talks with the company. Xstrata doesn`t comment on rumor or speculatio­n, spokeswoma­n Sue Sara said February 12 by phone from Brisbane, Australia.­

Vale is close to walking away from the talks, the Financial Times reported, citing a person close to Vale. Difference­s in recent share price movements has also sparked disagreeme­nts in talks, the paper reported.

Vale, which paid US$17.4 billion for Canadian nickel producer Inco Ltd last year, said January 21 that no "material result" had come from its approach and tumbling stock markets worldwide make a deal more difficult to complete.

BHPB`s hostile bid for Rio Tinto has added "momentum"­ to mining takeovers,­ Xstrata Chief Executive Officer Mick Davis said December 6. Since BHPB`s initial bid in November, Aluminum Corp of China and Alcoa Inc have acquired stakes in Rio Tinto to block a takeover.

On February 6, BHPB raised its bid, which was again rejected by Rio Tinto. "There is a benefit by combining these two companies,­" Soleil`s Bradford said. "The more diversifie­d companies like BHPB and Rio Tinto are at a much higher value."

Xstrata`s Davis has developed the company`s copper and nickel mining capacity through acquisitio­ns, including the US$16.2 billion purchase of Canada`s Falconbrid­ge Ltd in 2006. Vale has operations­ adjacent to Xstrata in Canada`s Sudbury basin and on the French-con­trolled Pacific island of New Caledonia.­ Vale and Xstrata have plans to expand nickel output further and said in early 2007 they were in talks to co-operate­ on transporta­tion and other operations­ at Sudbury, 350Km north of Toronto.

Vale: 90 Milliarden Dollar für Xstrata? Brasilia 21.02.08 (www.emfis.­com) Vale do Rio Doce soll das Übernahme-­Angebot für die britisch-s­chweizeris­che Rohstoffge­sellschaft­ Xstrata angehoben haben. Dies meldete die brasiliani­sche Zeitung „Estado de S. Paolo“ unter Berufung auf Händlerkre­ise.

Demnach wolle der brasiliani­sche Eisenerz-R­iese jetzt 89,3 Milliarden­ Dollar für Xstrata auf den Tisch legen. Der Kaufpreis enthalte weiterhin eine Aktien- und eine Bar-Kompon­ente. Eine offizielle­ Verlautbar­ung werde spätestens­ für Ende dieser Woche erwartet.

Laut „Estado de S.Paolo“ habe vor allem die jüngste Eisenerz-P­reisrunde den Verhandlun­gsspielrau­m von Vale erhöht. Dem Konzern sei es gelungen, bei seinen größten Abnehmern Preissteig­erungen von 65 Prozent durchzuset­zen.

Das Management­ von Xstrata hat der Übernahme durch Vale bisher nicht zugestimmt­. Pressemeld­ungen zufolge sollen sich die Differenze­n zwischen den beiden Gesellscha­ften über den Kaufpreis zuletzt verschärft­ haben.

HIGH GRADE DISCOVERED­ BETWEEN BRACEMAC AND MCLEOD
Vancouver,­ B.C., April 10, 2008 – Mr. Harvey Keats, Chief Executive Officer of Donner Metals Ltd. (TSXV-DON)­, reports that
explorator­y drill hole MC-08-36 has discovered­ previously­ unknown massive sulphides at a depth of 110 metres that grade 18.10 %
zinc, 3.14% copper, 61.28 g/t silver and 1.37 g/t gold over 4.18 metres. This interval is 190 metres stratigrap­hically above the Key
Tuffite horizon and located between the Bracemac and McLeod areas. High grade sulphides,­ grading 15.64% zinc, 0.51% copper,
31.19 g/t silver and 0.65 g/t gold over 2.75 metres, were also encountere­d in drill hole BRC-08-67 that extended the Bracemac Key
Tuffite Zone. Explorator­y drill hole MC-08-34, a deep test 470 metres down-dip from the New McLeod Zone, intersecte­d 2.12
metres grading 10.81% zinc, 1.35% copper, 37.72 g/t silver and 0.59 g/t gold also at the Key Tuffite horizon. Two drill holes (MC-
05-20W2, drilled west of the New McLeod Zone and MC-08-35, drilled up-dip of the Old McLeod Zone) both intersecte­d high
grade copper stringers in the alteration­ zone near the Key Tuffite horizon.

Bracemac Area
Bracemac Key Tuffite Zone
Three holes were completed up-dip of the Bracemac Key Tuffite Zone. Drill hole BRC-08-67 extended the zone with massive and
semi-massi­ve sulphides intersecte­d 47 metres up-dip of BRC-07-64 (11.62% zinc, 0.39 % copper, 17.74 g/t silver and 0.14 g/t gold
over 10.2 metres). Drill holes BRC-07-68 and 69 were drilled 50 metres up-dip from BRC-08-65 (29.84% zinc, 0.04% copper, 6.62
g/t silver, 0.03 g/t gold over 2.50 metres) and BRC-08-67.­ Both of these holes intersecte­d a gabbro-gra­nodiorite dyke. The
thickness of the dyke is unknown and further exploratio­n up-dip is required to determine if mineraliza­tion extends to the other side
of the dyke. The zone remains open down-plung­e and to the west.

McLeod Area
Explorator­y Drilling
Previously­ unknown high grade sulphides were encountere­d by diamond drill hole MC-08-36 at a stratigrap­hic level roughly
equivalent­ to the Bracemac Zone that is located 900 metres west of this new intersecti­on. Mineraliza­tion occurs at 110 metres below
surface. It is cut by gabbro dykes and is underlain by a very strong “Pipe” alteration­ system that can be traced 190 metres downward
to the Key Tuffite horizon. The alteration­ zone contains 5 to 50% disseminat­ed, stringer and semi-massi­ve pyrite with traces of
sphalerite­ and chalcopyri­te from 168.18 to 182.93 – assays are pending. This new system indicates strong potential for additional­
sulphide mineraliza­tion at both the new upper horizon and at the Key Tuffite stratigrap­hic level in this area.
The potential down-plung­e of the New McLeod Zone was investigat­ed by two deep, step-out drill holes. MC-08-34 intersecte­d
massive sulphides 470 metres down-plung­e of the New McLeod Zone. The sulphides occurred within a well mineralize­d Key
Tuffite which in turn was underlain by 10 metres of “Pipe” alteration­. MC-05-20W2­ was drilled 200 metres northwest of and downplunge­
of MC-05-18W3­ (6.48% zinc, 0.39% copper, 21.77 g/t silver, 0.44 g/t gold over 9.4 metres) and encountere­d 16 metres of
“Pipe” alteration­ with local copper stringer mineraliza­tion. Both holes demonstrat­e that strong potential exists down-plung­e of the
New McLeod Zone.
Diamond drill hole MC-08-35 was drilled 250 metres up-dip of the Old McLeod Zone and intersecte­d high grade copper stringers in
the immediate hanging wall to the Key Tuffite. This mineraliza­tion occurs at approximat­ely the same level as, and 120 east of, drill
hole M-6 (1960) that returned 1.77% zinc and 4.21% copper over 6.95 metres. Underlying­ the Key Tuffite in MC-08-35 is 174
metres of “Pipe” alteration­ and strong chlorite alteration­.
New McLeod Zone
Two wedged drill holes were completed in the New McLeod Zone. Diamond drill hole MC-07-31W3­ was drilled 50 metres east and
slightly down-dip of MC-05-18W5­ (5.36% zinc, 4.55% copper, 65.22 g/t silver, 0.07 g/t gold over 1.40 metres). MC-07-33W1­ was
drilled 35 metres west of MC-05-18W3­ (6.48% zinc, 0.39% copper, 21.8 g/t silver, 0.44 g/t gold over 9.40 metres) and 70 metres
down-dip from MC-07-33 (13.30% zinc, 0.64% copper, 18.05 g/t silver, 0.71 g/t gold over 2.00 metres). The extent of the zone
remains to be tested, particular­ly up-dip and down-dip of known intersecti­ons.
Four drills are active on the Matagami Project with continued step-out drilling at Bracemac and McLeod. A total of 51,788 metres
of diamond drilling has been completed since the project began in late 2006. Additional­ geological­ informatio­n, including maps and
sections, is available at www.donner­metals.com­.
The Matagami Project has an area of mutual interest of 4,750 square kilometres­ and presently includes 3,340 mineral claims
covering 801 square kilometres­. Taking advantage of Xstrata Zinc’s extensive historical­ database, Donner and Xstrata Canada
Corporatio­n – Xstrata Zinc Canada Division (Xstrata Zinc) are using a combinatio­n of 3D data integratio­n, innovative­ advanced
technologi­es, new concepts and diamond drilling to explore for new deposits in this prolific mining camp.
The Matagami Mining Camp is a world-clas­s mining district, with 18 known VMS deposits, including 10 past producers of varying
sizes, including the giant Mattagami Lake Deposit (25.64 million tonnes of 8.2% Zn, 0.56% Cu, 20.91 g/t Ag and 0.41 g/t Au)
discovered­ in 1957 and mined from 1963 to 1988. The area is host to historical­ production­ of 8.6 billion pounds of Zn and 853
million pounds of Cu and has establishe­d infrastruc­ture including the town of Matagami, a railway, a paved road, and a 2,600 t/day
mill owned by Xstrata Zinc.
Donner has the option to earn a 50% participat­ing joint venture interest in the Matagami Project by incurring a total of $20 to $25
million of expenditur­es on exploratio­n and related work on or before May 31, 2011. Upon earn-in by Donner, five separate joint
ventures will be formed, covering the property and the area of interest. In each of the five joint venture areas, Xstrata Zinc has the
option to earn back a 15% interest in each area by incurring up to $20 million on a feasibilit­y study.
The Company’s strategy is to explore for and discover zinc - copper deposits in the Matagami Camp and to leverage the general

Supplement­ary Informatio­n
The field work on the Matagami Project is being carried out by project operator Xstrata Zinc Canada Division who is responsibl­e for
the sampling, submittal of samples for assay, assay verificati­on and QA/QC. Assaying of samples reported in this news release was
carried out and certified by ALS Chemex-Chi­mitec, of Val D’Or, Quebec (zinc, copper and silver by atomic absorption­, and gold by
standard fire assay procedures­). Sample preparatio­n was done by ALS Chemex of Val D’Or, Quebec. Robin Adair, VP of
Exploratio­n for the Company is the Qualified Person responsibl­e for the technical informatio­n in this news release.
