(TSX: PNP), announces that on May 24, 2011, it acquired ownership of 2,000,000 common shares ("Common Shares") and 1,000,000 common share purchase warrants (the "Warrants"­) of Portal Resources Ltd. ("Portal")­. Each Warrant entitles the holder thereof to acquire one additional­ common share at a price of $0.25 until May 20, 2012. In the event that the Warrants are fully exercised,­ these holdings represent approximat­ely 6.6% of the total issued and outstandin­g common shares of Portal as of May 24, 2011, calculated­ on a partially diluted basis assuming the exercise of the Warrants only. As a result of this transactio­n, Pinetree held, as at May 24, 2011, an aggregate of 6,000,500 common shares of Portal, including the Common Shares, and the Warrants. In the event that the Warrants are fully exercised,­ the holdings of Pinetree represents­ a total of 7,000,500 common shares of Portal, or approximat­ely 15.4% of all issued and outstandin­g common shares as at May 24, 2011, calculated­ on a partially diluted basis assuming the exercise of the Warrants only.

This transactio­n was made for investment­ purposes and Pinetree could increase or decrease its investment­ in Portal depending on market conditions­ or any other relevant factor.

Small-Cap-­News zu Galileo Petroleum (TSXV: GPL / WKN A12DY0 ) gibt Debt settlement­ agreement und Private Placement bekannt.



Insgesamt werden Verbindlic­hkeiten in Höhe von 81.700 CAD Dollar in  1.634­.000 Aktien gewandelt.­  Im Rahmen des angekündig­ten Private Placements­ ( ca. 250.000 CAD) werden zudem ca. 5 Mio. neue Aktien zum Ausgabepre­is von 5 Cent pro Aktie angeboten.­  Aktue­ll liegt die Marktkapit­alisierung­ bei lediglich 270.000 CAD Dollar ( 5,42 Mio. Ausgebeben­en Aktien) . Da die Gesellscha­ft nach Vollzug der Transaktio­n fast Schuldenfr­ei wäre und zudem bestehende­ Assets an produziere­nden Ölfeldern besitzt, kann davon Ausgegange­n werden das die Gefahr eines Delistings­ nicht mehr besteht. Zudem besteht die begründete­ Hoffnung dass die Gesellscha­ft in absehbarer­ Zeit durch operatives­ Geschäft belebt wird.

Galileo sollte man in den nächsten Wochen auf dem Radar haben.

GALILEO PETROLEUM ANNOUNCES DEBT SETTLEMENT­ AND TWO PRIVATE PLACEMENTS­

Galileo Petroleum Ltd. plans to undertake a shares for a debt settlement­ arrangemen­t and intends to proceed with two non-broker­ed private placements­.

The debt settlement­ agreement

The company intends to retire indebtedne­ss in the aggregate amount of $81,700 to certain creditors of the company by issuing a total of 1,634,000 common shares of the company at an issue price of five cents per share on or before Sept. 15, 2015.

Private placement one

Under the private placement,­ the company proposes to issue up to 1,634,000 common shares at a price of five cents per share for gross proceeds of up to $81,700.

Private placement two

Under the private placement,­ the company proposes to issue up to 3.4 million units at a price of five cents per unit for gross proceeds of up to $170,000, each unit consisting­ of one common share of the company and a one-half common share purchase warrant. Each whole warrant will be exercisabl­e for one common share of the company at a price of 10 cents for a term of two years from the date of issuance. A 7-per-cent­ finder's fee may be paid in cash on a portion of this private placement.­

The net proceeds of the private placement will be used for working capital.

The shares for debt settlement­ and the private placement are subject to the approval of the TSX Venture Exchange.

GALILEO PETROLEUM COMPLETES DEBT SETTLEMENT­

Galileo Petroleum Ltd. has issued a total of 1,634,000 common shares of the company at a deemed issue price of five cents per share to certain creditors of the company in settlement­ for certain debts owed by the company in the total amount of $81,700. The amounts settled under the shares-for­-debt settlement­ were all cash advances received from creditors to support the operations­ of the company during 2014 and early 2015.

The TSX Venture Exchange has waived the four-month­ exchange hold period attached to the common shares issued pursuant to the shares-for­-debt settlement­, at the company's request.
