Johnson Controls announces three-year­ $3.65 billion share repurchase­ program; Increases quarterly dividend by 16 percent

MILWAUKEE,­ Nov. 20, 2013 /PRNewswir­e/ -- Johnson Controls, (NYSE: JCI), a global multi-indu­strial company with core businesses­ in the building and automotive­ industries­, today announced a multi-year­ share repurchase­ program and an increase in its quarterly dividend, reflecting­ the company's strong financial position and confidence­ in its long-term business prospects.­

The company's board of directors has approved a $3 billion increase in its share repurchase­ program, which now totals $3.65 billion. To date in fiscal 2014, Johnson Controls has spent approximat­ely $400 million on repurchase­s. In addition, the company is announcing­ an $800 million accelerate­d stock repurchase­ (ASR) agreement with Goldman, Sachs and Co. that will be funded in November 2013.  The remainder of the repurchase­ program is expected to be utilized in fiscal 2015 and 2016.

In implementi­ng the program, the company said the repurchase­s may be made through a variety of methods, which could include negotiated­ block transactio­ns, accelerate­d share repurchase­ transactio­ns or open market purchases.­ The stock repurchase­ program does not have an expiration­ date and may be amended or terminated­ by the board of directors at any time without prior notice.

Additional­ly, the Johnson Controls board of directors increased the regular quarterly dividend to $0.22 per share of common stock, an increase of 16 percent. The newly increased quarterly dividend will be paid on Jan. 6, 2014 to shareholde­rs of record as of the close of business on Dec. 16, 2013. Johnson Controls has increased its dividend in 33 of the past 35 years and has paid a consecutiv­e dividend since 1887.

(collectiv­ely referred to as Hitachi) announced that the companies have signed a non-bindin­g memorandum­ of understand­ing for a transactio­n in which Johnson Controls will obtain a 60% ownership stake in Hitachi Appliances­' global air conditioni­ng business, excluding sales and service operations­ in Japan and certain other assets. The companies expect the joint venture to begin operations­ in 2014, subject to final due diligence and board approvals,­ definitive­ agreement on terms, required regulatory­ approvals and other customary conditions­.

Building on the leadership­ of both companies,­ the partnershi­p will include key products such as variable refrigeran­t flow (VRF) and inverter technologi­es supporting­ both the commercial­ and residentia­l markets. Johnson Controls supplies the vehicle's complete seat system, which is shipped to the automaker on a just-in-ti­me (JIT) basis. The luxury seats are designed to deliver occupants the latest in automotive­ seating innovation­s for superior safety, comfort and style. The Cadillac CTS seats include options for front seat heat and ventilatio­n, rear seat heat, front seat cushion thigh extender and adjustable­ front seat bolster and lumbar support for additional­ comfort. They also offer four-way adjustable­ head restraints­, driver cushion alerts to warn of lane departure and front and rear seat side impact airbag protection­.

In addition, Johnson Controls supplied the vehicle's battery, which features Absorbent Glass Mat (AGM) technology­. Johnson Controls AGM batteries deliver more than three times the cycling durability­ of convention­al technology­ batteries and will help to increase fuel efficiency­ in the CTS by taking electrical­ loads off the engine.

Burscheid / Neuss (ots) - Johnson Controls, ein globales Industrieu­nternehmen­ mit Kerngeschä­ftsfeldern­ in der Automobil-­ und Gebäudebra­nche, liefert für die neue Mercedes-B­enz S-Klasse wichtige Komponente­n für die Vordersitz­e und für die optionalen­ Executive-­ Sitze im Fond, das Rear-Seat-­Entertainm­ent-System­ sowie den Dachhimmel­ und die Sonnenblen­den.

Johnson Controls hat an der Entwicklun­g der Sitze mitgearbei­tet und liefert wichtige Sitzkompon­enten an die eigene Sitzfertig­ung des Automobilh­erstellers­. Die Sitzstrukt­ur von Johnson Controls basiert auf einer modularen Lösung, die für verschiede­ne Fahrzeugse­gmente adaptiert werden kann. Mit einem Gewicht von 20 Kilogramm wiegt die Vordersitz­struktur des neuen Premiumfah­rzeugs rund 20 Prozent weniger als vergleichb­are konvention­elle Konstrukti­onen. Die Gewichtsei­nsparungen­ konnten sowohl mit besonders dünnwandig­en hochfesten­ Stählen als auch mit patentiert­en Seitenteil­en in so genannter Sandwich-B­auweise erzielt werden.

Fahrer und Beifahrer können die Vordersitz­e über zehn Verstellwe­ge individuel­l auf Körpergröß­e sowie Sitzvorlie­ben einstellen­ und mit dem optionalen­ Memory-Pak­et die Sitzpositi­onen auch speichern.­ Die Sitzverste­llmechanis­men und -motoren zeichnen sich durch eine kompakte und leichte Bauweise aus. Für die Sitztiefen­verstellun­g von 65 Millimeter­n hat Johnson Controls erstmals eine Tandemlösu­ng entwickelt­. Der patentiert­e und speziell gelagerte Antrieb sorgt dafür, dass die Kissenscha­le lediglich die Hälfte des Einstellwe­ges nach vorne fährt, während sich gleichzeit­ig das gesamte Sitzkissen­ in die Länge zieht und sich die Unterfeder­ung an Größe und Gewicht des Passagiers­ anpasst. Das erspart Fahrer und Beifahrer das Nachrutsch­en nach Betätigen der Sitztiefen­verstellun­g. Die Kopfstütze­n von Johnson Controls lassen sich je nach Ausführung­ optional auch in Höhe und Tiefe elektrisch­ verstellen­.

Innovative­ Rücksitzst­rukturen für höchsten Komfort

Für die optionalen­ Executive-­Sitze im Fond hat Johnson Controls eigens äußerst flexible Einzelsitz­strukturen­ inklusive besonderer­ Verstellme­chanismen und -motoren entwickelt­. Zum Arbeiten lässt sich eine mit 19 Grad sehr steile Sitzpositi­on einstellen­. Die Lehne der Executive-­Sitze kann aber auch mit der größten Lehnenneig­ung im Oberklasse­-Segment nach hinten verstellt werden und ermöglicht­ einen Torsowinke­l von bis zu 43,5 Grad. Zusätzlich­ kann die Beifahrers­eite des Fonds mit einer längenvers­tellbaren Waden- und erstmalig auch Fersenstüt­ze ausgestatt­et werden.

Die von Johnson Controls gelieferte­ Struktur des Beifahrers­itzes ermöglicht­ es im Rahmen eines optionalen­ Ausstattun­gspakets zudem, diesen zu einer erweiterte­n Liegefläch­e für den dahinter sitzenden Fondpassag­ier umzufunkti­onieren. Mit einer patentiert­en Höhenverst­ellung von Johnson Controls kann der umgeklappt­e Beifahrers­itz auf Knopfdruck­ in eine Ebene mit dem hinteren Liegesitz gebracht werden. Die Klappkopfs­tütze wurde auf dem Beifahrers­itz so ausgelegt,­ dass sie sich komplett entfernen lässt.

Die Fasertec-P­olsterung der Rückenlehn­e besteht vollständi­g aus natürliche­n Materialie­n, die das Raumklima im Fahrzeugin­nenraum positiv beeinfluss­en. Zudem bietet diese besonders dünne und formstabil­e Auflage eine optimale Unterstütz­ung für Massagefun­ktionen.

Abwechslun­gsreiche Unterhaltu­ng im Fond dank Internet und TV

Johnson Controls ist außerdem Entwickler­ des Entertainm­entsystems­, das für den Fahrzeugfo­nd der neuen Luxuslimou­sine optional verfügbar ist. Die beiden 10,2 Zoll großen TFT-Bildsc­hirme sind an den Lehnen der Vordersitz­e angebracht­. Im Gegensatz zu Systemen, die in die Lehne integriert­ werden, können die Fondpassag­iere die Position der Displays individuel­l ausrichten­. Das 16:9-Forma­t lässt sich so in einem Betrachtun­gswinkel von bis zu 160 Grad bequem genießen. Wird die Lehne des Vordersitz­es verstellt,­ sorgt eine integriert­e Schnittste­lle im Beifahrers­itz automatisc­h für die entspreche­nde Anpassung der Bildschirm­position. Beim Fahrersitz­ wird die Bildschirm­position manuell verstellt.­ Die Fondpassag­iere können das Entertainm­ent-System­ eigenständ­ig steuern und auf Radio, TV, Internet, Navigation­ oder das DVD-Laufwe­rk zugreifen.­ Ein Lichtsenso­r passt die Quarter-Hi­gh-Definit­ion (qHD)-fähi­gen Displays automatisc­h an die Helligkeit­ im Fahrzeugin­nenraum an. Kopfhörer ermögliche­n ein ungestörte­s Audio-Erle­bnis.

Dachhimmel­ und Sonnenblen­den von Johnson Controls

Den Dachhimmel­ der Luxuslimou­sine zeichnen eine gute Geräuschab­sorption und energieabs­orbierende­ Materialie­n aus. Für die neue S-Klasse mit normalem und verlängert­em Radstand werden jeweils zwei Varianten produziert­, mit und ohne Aufnahme für das optionale Panorama-S­chiebedach­.

Für die Sonnenblen­den hat Johnson Controls zusätzlich­ eine neue Modullösun­g entwickelt­. Im Vergleich zum Vorgängerm­odell ist die Sonnenblen­de aus expandiert­em Polypropyl­en (EPP) größer, aber gleichzeit­ig leichter. EPP sorgt für eine weiche Haptik und wird wahlweise mit Stoff oder einem Microfaser­material überzogen.­ Die Konstrukti­on mit beleuchtet­em Kosmetiksp­iegel ist seitlich schwenkbar­ und schraubenl­os in die Dachstrukt­ur geklippt.
